1. Acceptance of Terms

These Terms of Service govern your access to and use of the services provided by Silverback Chatbot including our website at silverbackchatbot.com, AI chatbot services, and related tools. By accessing or using our Services you agree to be bound by these Terms. If using on behalf of an organization, you represent you have authority to bind that organization.

2. Description of Services

Silverback Chatbot provides AI-powered chatbot solutions including:

• Custom AI chatbot development and deployment
• Chatbot maintenance, optimization, and updates
• Multi-channel integration (website, WhatsApp, Facebook Messenger, etc.)
• Analytics and performance reporting
• Ongoing technical support

3. Subscription Plans and Pricing

3.1 Available Plans

• Essential: $497/month — core chatbot functionality
• Professional: $997/month — advanced features and integrations
• Business: $1,997/month — full-featured enterprise solution
• Enterprise: From $2,997/month — custom solutions scoped per project

3.2 Billing

Subscriptions are billed monthly or annually in advance. Annual plans include two months free. By subscribing you authorize recurring charges to your payment method.

3.3 Price Changes

We may modify pricing with 30 days advance notice. Continued use after a price change constitutes acceptance of new pricing.

3.4 Refunds

Monthly subscriptions are non-refundable once billed. Annual subscriptions may be eligible for prorated refund at our discretion within 14 days of annual billing. Setup fees are non-refundable once onboarding has commenced.

4. Account Registration and Security

You agree to provide accurate registration information, maintain the security of your credentials, notify us immediately of unauthorized access, and accept responsibility for all activities under your account. Accounts may not be shared or transferred without written consent.

5. Acceptable Use Policy

You must NOT:

• Use Services to transmit illegal, harmful, threatening, or abusive content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of any third party
• Attempt unauthorized access to our systems or other accounts
• Collect personal information without proper consent through our chatbots
• Engage in spam, phishing, or deceptive practices
• Resell or sublicense our Services without written authorization
• Reverse engineer, decompile, or disassemble our software
• Deploy chatbots for illegal gambling, adult content, or prohibited industries

6. AI Technology and Limitations

Our chatbots are powered by AI technology. You acknowledge that AI responses may not always be accurate or complete, AI cannot replace professional advice (legal, medical, financial), and AI technology may change over time. You are responsible for reviewing and approving chatbot content before deployment and implementing human escalation paths for sensitive inquiries.

7. Intellectual Property

Silverback Chatbot owns all intellectual property rights in the Services including software, designs, and trademarks. You retain ownership of content you provide. By using our Services you grant us a limited license to use your content solely to provide the Services. If you provide feedback or suggestions you grant us an irrevocable license to use that feedback for any purpose.

8. Confidentiality

Each party agrees to maintain confidentiality of the others proprietary information. This obligation does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

9. Data Protection

We process personal data per our Privacy Policy, incorporated into these Terms by reference. We act as data processor for your customers personal data; you act as data controller. We process such data only on your instructions as set out in our Data Processing Agreement available upon request.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILVERBACK CHATBOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Silverback Chatbot from claims arising out of your violation of these Terms, your use of the Services, your Content, your violation of third-party rights, or your violation of applicable law.

13. Termination

You may cancel your subscription at any time through your account dashboard. We may suspend or terminate access immediately if you breach these Terms, we are required to by law, or your account is more than 30 days overdue. Upon termination, we will provide data export access for 30 days after which data may be permanently deleted.

14. Governing Law

These Terms shall be governed by applicable law. Any disputes shall first be attempted through good-faith negotiation. If negotiations fail, disputes shall be resolved through binding arbitration or courts of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms with at least 30 days notice of material changes. Continued use after changes constitutes acceptance of new Terms.
